On June 25, 2026, the Canadian Securities Administrators (CSA) released finalized regulatory amendments to National Instrument 51-102 Continuous Disclosure Obligations (NI 51-102), National Instrument 54-101 Communication With Beneficial Owners of Securities of a Reporting Issuer, and their associated companion policies.
This update establishes an optional regulatory framework formally termed the "access equals delivery" or "access model". Designed specifically for non-investment fund reporting issuers, the framework introduces an alternative digital mechanism for distributing continuous disclosure (CD) documents to investors, bypassing traditional physical mailing and standard email delivery mandates. Pending final ministerial approvals, the rules will take effect on September 22, 2026.
Scope and Eligibility
The digital delivery alternative is strictly governed regarding which documents and entities qualify for its use:
- Qualifying Financial Reports: Issuers may apply the framework to annual financial statements, interim financial reports, and the management's discussion and analysis (MD&A) associated with both reporting periods. It is also permitted for specific financial statements required under section 4.7 (filings subsequent to becoming a reporting issuer) and section 4.10 (reverse takeover transactions) of NI 51-102.
- Excluded Materials: The framework cannot be utilized for documentation requiring shareholder voting or immediate transaction responses. Proxy-related packages, takeover bid circulars, and issuer bid circulars must continue to follow existing distribution rules.
- Entity Restrictions: While adoption is voluntary for eligible issuers, the mechanism is entirely unavailable to SEC foreign issuers and designated foreign issuers.

Three-Step Operational Workflow
To successfully implement the electronic access framework instead of traditional distribution methods, an issuer must execute the following procedures:
- Platform Upload: The relevant CD documents must be uploaded directly to the System for Electronic Data Analysis and Retrieval + (SEDAR+) as soon as they become available.
- News Release Broadcast: Within one calendar day of the SEDAR+ upload, the organization must issue and file a news release on SEDAR+. The title of this release must explicitly state that the documents are accessible via SEDAR+. Furthermore, the body of the text must incorporate mandatory disclosure wording.
- Website Hosting: If the organization maintains a corporate website, the documents, or a direct hyperlink leading to the specific SEDAR+ filing, must be published online within two calendar days of the initial SEDAR+ upload. These files are expected to remain accessible on the website at least until the financial reports for the subsequent period are posted.
Mandatory Informational Disclosures
Issuers utilizing this digital alternative must regularly inform securityholders about their delivery practices. The prescribed text must explain how to view files online, highlight the free email alert functionality on SEDAR+, confirm that physical or digital copies can be requested free of charge, and assure investors that previously recorded standing delivery instructions will be respected.
This informational text must be broadcast across three distinct touchpoints:
- Initial Advance Notice: Published via a news release at least 25 calendar days before the organization relies on the digital access model for the very first time.
- Yearly Reminders: Integrated annually into standard proxy-distribution materials, notice-and-access documentation, or an accompanying standalone document delivered to investors.
- Dedicated Webpage: Displayed on the company's website in the exact location where the financial reports or SEDAR+ hyperlinks are hosted.
Key Operational Considerations for Compliance Professionals
As reporting issuers evaluate transitioning to this framework to lower printing and postage overhead, compliance teams should weigh several operational factors:
- Scheduling the Transition: The mandatory 25-day advance notice requirement necessitates early administrative planning before filing. Organizations can streamline this process by combining the initial notification for both annual and interim financial reports into a single preparatory news release.
- Statutory and Governance Overrides: The access model satisfies distribution mandates under Canadian securities legislation only. Compliance officers must independently verify that electronic delivery aligns with applicable corporate governing statutes (such as federal or provincial business corporations acts) and internal constating documents, which may still legally mandate physical distribution.
- Fulfilling Individual Securityholder Requests: Adopting the alternative model does not extinguish an investor's legal right to request physical or emailed copies. Issuers remain bound to fulfill ad-hoc requests within 10 calendar days at no charge (excluding holders of debt securities) and must continue honoring all pre-existing standing delivery instructions.
- Vendor and Internal Alignment: Transitioning to the framework requires updating internal compliance calendars, revising website maintenance procedures, and coordinating closely with transfer agents or proxy service vendors to ensure annual reminders are correctly formatted within meeting packages.
